MASTER TERMS, CONDITIONS & WARRANTY AGREEMENT
IREP Technologies Inc.
This Master Terms, Conditions & Warranty Agreement (“Agreement”) is issued by IREP Technologies Inc. and governs all sales, transactions, and warranty services provided under this brand.
By placing an order, accepting delivery, or using any product supplied by IREP Technologies Inc., the customer acknowledges and agrees to be legally bound by this Agreement.
This Agreement applies to all products including, but not limited to: memory modules, CPUs, motherboards, storage devices, and all server, desktop, and laptop hardware components.
SECTION 1 — GENERAL TERMS OF SALE
1.1 Acceptance of Terms
All transactions are subject to acceptance of these Terms. No verbal agreements shall be binding unless confirmed in writing by an authorized representative of IREP Technologies Inc.
1.2 Orders and Contract Formation
- Orders are subject to acceptance by IREP Technologies Inc.
- IREP Technologies Inc. may refuse or cancel any order at its sole discretion
- A binding contract is formed only upon issuance of an official invoice
- Any discrepancies must be resolved prior to shipment
1.3 Pricing and Payment
- Prices are subject to change prior to order acceptance
- Full payment may be required before shipment unless otherwise agreed
- Customer is responsible for applicable taxes, duties, and fees
- IREP Technologies Inc. reserves the right to withhold shipment until payment is completed and cleared
1.4 Shipping and Risk of Loss
- Risk of loss transfers to the customer once goods are handed to the carrier
- IREP Technologies Inc. is not responsible for delays, loss, or damage caused by shipping carriers
- Customers are responsible for accurate shipping information
- Return shipping costs are the responsibility of the customer unless otherwise agreed
1.5 Product Condition
Products may be sold as: New (manufacturer sealed), Refurbished (tested and certified functional), or Recertified or replacement-grade components.
Cosmetic variation may occur and does not affect product performance or warranty eligibility.
SECTION 2 — WARRANTY POLICY
2.1 Scope of Warranty
Warranty coverage applies strictly to hardware defects under normal use conditions. Warranty terms may include 30 days, 60 days, 90 days, or 1 year, depending on product classification or agreement. The warranty term stated on the invoice shall override all standard policies.
2.2 Refurbished Products
Refurbished products include a standard 30-day limited warranty, unless otherwise stated.
Coverage: Verified hardware failure under normal operation; manufacturing or material defects.
Exclusions: Physical damage or misuse; electrical irregularities or power damage; environmental exposure; improper installation or system configuration; unauthorized repair; compatibility issues.
2.3 New Products
- New products are covered exclusively under the original manufacturer warranty
- Warranty begins on invoice date
- Claims must follow manufacturer procedures
- IREP Technologies Inc. is not responsible for manufacturer decisions or processing delays
2.4 Variable Warranty Terms
Certain products may carry extended warranties (60/90 days or 1 year) if explicitly stated on the invoice. This overrides standard terms and must be agreed before shipment.
2.5 Warranty Remedies
IREP Technologies Inc. may repair, replace with a new or recertified unit, or issue a refund only when necessary. Refunds will be the lesser of original purchase price or current market value.
2.6 Defect Verification
- All returned products are tested upon receipt
- Non-defective items are returned to customer
- Compatibility issues are not considered defects
SECTION 3 — RETURNS & RMAs
3.1 RMA Requirement
All returns require a valid RMA number; unauthorized returns will be refused. RMA terms must be agreed before issuance.
3.2 Unopened Products
- Within 14 Days: Eligible for refund; must be unopened/unused; customer pays return shipping.
- 15–30 Days: Store credit only; 20% restocking fee applies.
- After 30 Days: No returns accepted.
3.3 Opened Products
Non-refundable. Exceptions only at IREP Technologies Inc. discretion with a minimum 20% restocking fee. Must be complete and resalable.
SECTION 4 — WARRANTY CLAIM PROCESS
- Contact IREP Technologies Inc. with proof of purchase
- Provide detailed issue description
- Obtain RMA authorization
- Return product per IREP Technologies Inc. instructions
Non-compliance may result in claim denial.
SECTION 5 — LIMITATION OF LIABILITY
To the maximum extent permitted by law, IREP Technologies Inc. is not liable for indirect or consequential damages, including data loss, system downtime, or profit loss. Liability is limited to product purchase value.
SECTION 6 — RESELLER TERMS
Reseller warranty must be agreed in writing and must appear on both purchase order and invoice. Verbal agreements are not binding.
SECTION 7 — FORCE MAJEURE
IREP Technologies Inc. is not liable for delays or failure caused by natural disasters, supply chain disruption, government action, labor disputes, or events beyond reasonable control.
SECTION 8 — ENTIRE AGREEMENT
This Agreement, together with IREP Technologies Inc. invoices and written warranty terms, constitutes the full agreement between parties. It supersedes all prior communications and may only be modified in writing.
